1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the CSVPlanet website, application, and all related services (collectively, the "Service") provided by CSVPlanet ("we," "us," or "our"). By creating an account, accessing, or using the Service, you confirm that you are at least 18 years old and legally capable of entering into binding contracts. These Terms constitute a legally binding agreement between you and CSVPlanet. We reserve the right to modify, amend, or update these Terms at any time without prior notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes.

2. Service Description and AI Usage

CSVPlanet is a fully automated SaaS platform designed to assist stock media contributors by generating metadata (titles, descriptions, keywords) for their images and videos using advanced Artificial Intelligence models, specifically Google's Gemini AI. The processing is handled entirely by our AI engine without human intervention by our team, ensuring privacy and speed. The Service allows users to upload media files, which are processed to generate CSV files compatible with various stock agencies (e.g., Adobe Stock, Shutterstock). You understand and acknowledge that the metadata is generated by AI and, while we strive for accuracy, the output may occasionally be incorrect, irrelevant, or inappropriate. You are solely responsible for reviewing and verifying all generated metadata before submitting it to any third-party platform. CSVPlanet does not guarantee the acceptance of your content or metadata by any stock agency and is not liable for any rejections or account issues arising from the use of our generated data.

Furthermore, you acknowledge that your API keys for Google Gemini are stored locally on your device or via your browser's sync capabilities. CSVPlanet does not store your API keys on its servers. You are responsible for maintaining the confidentiality of your API keys and for any usage costs incurred on your Google Cloud or AI Studio accounts.

3. User Accounts and Responsibilities

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if you violate any provision of these Terms.

You agree not to use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright or trademark laws). You are solely responsible for the content you upload and the metadata you generate. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize CSVPlanet to use all proprietary rights in and to any content you upload to the Service.

4. Payments, Subscriptions, and Limits

CSVPlanet operates on a tiered subscription model. By purchasing a subscription, you agree to the specific limits and terms associated with that plan, including but not limited to:

Credit Limits: A monthly allowance of credits for processing files. Unused credits do not rollover.
Upload Limits: A maximum number of files allowed per batch.
Session Limits: A maximum number of simultaneous active sessions (API keys).
Downgrade Policy: Subscriptions are valid for the purchased duration. Upon expiration, your account will automatically be downgraded to the "Free" plan, and your limits will revert to those of the Free tier.

Refund Policy

We offer a 14-day money-back guarantee. If you are not satisfied with your purchase, you may request a full refund within 14 days of your initial transaction, provided that you have not significantly exhausted your plan's credit limit.

Once a refund is approved, it may take up to 14 business days to complete the transaction and for funds to appear in your account.

5. Fair Usage Policy

You agree to use the Service in a manner consistent with its intended purpose. You may not:

Create multiple accounts to circumvent plan limits (e.g., Free tier restrictions).
Share your account credentials with third parties to avoid purchasing additional seats or plans.
Use automated scripts to scrape or abuse the API beyond the scope of normal usage.

Violation of this policy may result in immediate account suspension or termination.

6. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of CSVPlanet and its licensors. The Service is protected by copyright, trademark, and other laws of both domestic and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of CSVPlanet.

You retain all of your ownership rights in your uploaded content. However, by uploading content to the Service, you grant CSVPlanet a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and adapt such content solely for the purpose of providing and improving the Service (e.g., generating metadata). We do not use your content for training our own AI models without your explicit consent, nor do we claim ownership over the generated metadata, which is assigned to you upon generation.

7. Limitation of Liability and Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. CSVPlanet makes no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, materials, or products included on the Service. You expressly agree that your use of the Service is at your sole risk. To the full extent permissible by applicable law, CSVPlanet disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

In no event shall CSVPlanet, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which CSVPlanet operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
